　　甲方：河北省xx县人民政府
　　乙方：xx天然气有限公司
　　丙方：xx天然气有限公司

　　经甲、乙、丙三方协商，就xx第二天然气管道故邯段及相关配套工程建设事宜，达成如下协议：
　　1、甲方同意xx第二天然气管道途径xx县境，为保证管道正常安全输气，可在管道前段建设首站（稳定管道压力）、母站（计量）等配套工程。管道路由在满足设计条件的前提下，双方共同确定具体走向。
　　2、丙方受乙方委托全权负责邯郸第二天然气管道xx段天然气项目的建设、生产、运营、管理（包括建设、运营、管理首站和第二天然气管道），并保证满足xx县用气需求。在气源不足时，须优先保障xx县用气。
　　3、乙方、丙方承诺依法向甲方纳税，具体税金主要有三项：一是管道及相应配套工程建设所产生的税金；二是预计母站每年在xx县以外地区（邯郸、衡水、德州、邢台等）销售2亿方天然气，税金约xx万元；三是预计天然气管道xx段每年输气8亿方，管输费税金每年727万元。年缴纳税金共计:3427万元以上。
　　4、甲方应积极协助乙方和丙方取得项目所占土地的相应批文；甲方应协助乙方征地并按相关补偿标准进行合理补偿；甲方协调解决征地建设过程中的遇到的涉及村民纠纷的相关问题；协助丙方取得所属天然气母站批发、零售的经营许可证。
　　5、协议自双方签字盖章之日起生效；签订后5日内，乙方到县住建部门办理开工许可后即可开工建设；协议一式四份，双方各执两份，具有同等法律效力；协议未尽事宜，三方友好协商解决；以上条款如有与国家法律法规相抵触部分，以法律法规为准。
